Tender Price and Tender Offer implementation

The  Directors are pleased to announce that the assets comprised in  the  Tender
Pool  have  now been realised. Accordingly, the Tender Price for the  13,532,258
Exit  Shares  which  are  to  be  purchased  by  Close  Brothers  Securities  is
200.005320p  per share. It is expected that the Tender Offer consideration  will
be  paid,  CREST accounts settled and balance share certificates  despatched  to
Shareholders on or around 15 October 2004.

The  definitions  set  out  on pages 4 to 6 of the Company's  Circular  dated  3
September  2004  shall,  unless the context otherwise requires,  bear  the  same
meanings in this announcement.
