Result of EGM and take-up level under Tender Offer

The  Directors announce that at the Extraordinary General Meeting of the Company
held  today,  the  necessary special resolution to enable the  Company  to  make
market  purchases of its issued Shares pursuant to the Tender Offer  was  passed
on  a poll. There were 46,936,006 votes cast in favour of the special resolution
with 13,281 votes cast against.

The  Directors  further announce that Tenders in respect  of  24,383,176  Shares
were  made  under the Tender Offer, representing 36.0 per cent.  of  the  issued
ordinary  share capital. In accordance with the terms of the Tender  Offer,  the
total  number  of  Exit  Shares to be bought back under the  Tender  Offer  will
therefore  be 13,532,295, representing 20 per cent. of the Shares  in  issue  on
the  Record Date. Accordingly, as a result of the level of Tenders, applications
in  excess  of  the Basic Entitlement will be satisfied as to  35.88  per  cent.
Following  completion  of the Tender Offer, 54,129,182  Shares  will  remain  in
issue,  representing approximately 80 per cent. of the issued share  capital  on
the Record Date.

The  definitions  set  out  on pages 4 to 6 of the Company's  Circular  dated  3
September  2004  shall,  unless the context otherwise requires,  bear  the  same
meanings in this announcement.
