Edge Performance VCT plc (the "Company")

Issue of Equity

Offer for subscription of up to 10,000,000 H Shares of 10p each in the capital of the Company at an issue price of 100p each payable in full on subscription and of up to 15,000,000 I Shares of 10p each in the capital of the Company at an issue price of 100p each payable in full on subscription (the "Offers")

The Directors of the Company are pleased to announce that, in accordance with the terms of the Offers, as set out in the Company's prospectus dated 24 November 2011:

-- 51,275 H Shares of 10p each in the Company were allotted and issued on 21 November 2012 at a price of 100p per H Share; and

-- 568,849 I Shares of 10p each in the Company were allotted and issued on 21 November 2012 at a price of 100p per I Share.

Application is now being made for the admission of these newly-issued H Shares and I Shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities, which is expected to take place at the earliest practical opportunity.

Following this allotment and issue, the issued share capital of the Company is as follows:
