Edge Performance VCT plc (the "Company")

Enhanced Share Buy-back of existing C Shares

On 9 July 2012, the Company published an offer document (the "Offer Document") in respect of an enhanced share buy-back for Existing C Shareholders (the "Enhanced Share Buy-back") . The Enhanced Share Buy-back enabled C Shareholders to sell their C Shares back to the Company at 100% of the most recently published net asset value per C share and, rather than receiving the cash proceeds of sale, to reinvest the proceeds in subscribing for new shares in the Company.

The board of directors of the Company is pleased to announce that, on 23 October 2012, in accordance with the terms of the Offer Document:

-- a total of 3,754,208 C Shares were purchased for cancellation, at a price of 74.68p per C Share; and

-- a total of 3,670,874 new C Shares of 10p each in the Company were allotted, at an issue price of 76.93p per new C Share.

Following the cancellation and allotments described above, the issued share capital of the Company is as follows:

Application is now being made for the admission of the 3,670,874 new C Shares to the premium segment of the Official List of the UK Listing Authority and to trading on the London Stock Exchange plc's main market for listed securities, which is expected to take place at the earliest practical opportunity.

As set out in the Offer Document, once the 3,670,874 new C Shares have been admitted, they will be converted to I Shares, by reference to the then most recently published net asset value per C Share and I Share respectively.
