At the DP World Limited Annual General Meeting held at 11:00
a.m., Thursday 25 April 2013, the shareholders passed all the
resolutions.
ORDINARY RESOLUTIONS
ANNUAL ACCOUNTS
Resolution 1
It was proposed that the Company's annual accounts for the
financial year ended 31 December 2012 together with the auditors'
report on those accounts be approved.
758,509,907 of the votes cast were in favour and 0 of the votes
cast were against. The number of votes abstained was 1,306,738.
DIVIDEND
Resolution 2
It was proposed that a final dividend be declared of 24 US cents
per share in respect of the year ended 31 December 2012 payable on
Tuesday 30 April 2013 to shareholders on the register at the close
of business on 2 April 2013.

It was proposed that Sultan Ahmed Bin Sulayem be re-appointed as

AUDITORS
Resolution 11
It was proposed that KPMG LLP be re-appointed as independent
auditors of the Company to hold office from the conclusion of this
meeting until the conclusion of the next general meeting of which
accounts are laid.

REMUNERATION OF KPMG LLP
Resolution 12
It was proposed to authorise the directors to determine the
remuneration of KPMG LLP.

AUTHORITY TO ALLOT SHARES
Resolution 13
It was proposed to renew the existing authority allowing the
Company to allot (or issue) up to a limited number of ordinary
shares in the Company.

AUTHORITY TO BUY BACK SHARES
Resolution 14
It was proposed to authorise the Company to buy back a limited
number of shares.

DIS-APPLY PRE-EMPTION RIGHTS
Resolution 15
In line with common international practice, DP World requested
the renewal of an existing authority allowing the Company to allot
(or issue) up to a limited number of shares (5% of the nominal
value of the issued and unconditionally allotted share capital of
the Company) free of pre-emption rights.

cast were against. The number of votes abstained was 1,306,738.
REDUCTION OF SHARES
Resolution 16
It was proposed that the Company be generally and
unconditionally authorised to reduce its share capital by
cancelling any or all of the ordinary shares purchased by the
Company pursuant to Resolution 14.

cast were against. The number of votes abstained was 1,306,738.
