ACQUISITION OF CASTELLAIN LIMITED

Dean Corporation, the fully listed building and property services group,
announces that it is acquiring Castellain Limited ("Castellain"), a national
property maintenance company based in Surrey. 

Terms of the acquisition are #130,000 payable in cash, shares and interest
free loan stock, on completion, plus further payments based on the results to
December 1998, which will amount to a maximum of #120,000 if profits before
tax exceed #120,000 for the year. For the year ended 31 December 1996,
Castellain's profit before tax amounted to #56,036 and its net asset value was
#29,386 at that date.  Rob Holden, founder and vendor of Castellain, will be
joining J C Tripp, the Property Maintenance arm of Dean Corporation.  

Castellain provides comprehensive services to secure, repair and maintain
commercial and residential properties.  It receives business from building
societies, banks, property management companies and other financial
institutions for its 24 hour a day, seven days a week call out service. 
Clients include Alliance & Leicester, Black Horse Agencies, Bradford &
Bingley, General Accident Property Services, Household Mortgage Corporation,
Midland Bank and Royal Bank of Scotland.  

The acquisition of Castellain will extend our existing maintenance business
into commercial maintenance and into the residential sector with financial
institutions said Stephen Dean, Chairman of Dean Corporation.  We see
tremendous opportunities for growth in these sectors.
