                   Dean Corporation PLC ("Dean Corporation")

At the Extraordinary General Meeting held today to approve, inter alia, the
Company's Placing and Open Offer and the Subscription by Future Match Limited,
all resolutions were duly passed.

Application has been made for the admission of the Company's existing and new
Ordinary Shares to the Official List of the London Stock Exchange.  It is
expected that such admission will become effective and that dealings will
commence on 18th November, 1997.
