The Company was advised on 24th October, 1997 that on 23rd October, 1997 The
Taurus Pension Fund, in which Mr Stephen Dean is interested, purchased 772,000
Ordinary Shares at 13.5p each.

Following this acquisition Mr Stephen Dean is now beneficially interested in
23,312,013 Ordinary Shares, representing 50.35 per cent. of the existing
issued share capital.

Prior to the above acquisition Mr Stephen Dean and family trusts for his adult
children, which are deemed to be acting in concert with Mr Dean, held
24,612,013 Ordinary Shares, representing 53.16 per cent. of the issued share
capital of the Company.  Following the acquisition the Stephen Dean Concert
Party now holds 25,384,013 Ordinary Shares, representing 54.83 per cent. of
the issued share capital of the Company.
