                   Notice of EGM and Irrevocable Undertakings

The Company confirms that the Notice convening an Extraordinary General Meeting,
to be held at Pinsent Curtis Biddle, 1 Gresham Street, London EC2V 7BU at 12
p.m. on 26 March 2002, will today be posted to Shareholders, the details of
which are set out in the earlier announcement regarding the acquisition of
certain business assets and IPR of Fleetstar Information Systems Limited.

Irrevocable undertakings to favour in vote in favour of the resolutions to be
proposed at the EGM have been given from certain shareholders in respect of
467,750,400 ordinary shares, representing approximately 76.2 per cent of the
current issued ordinary share capital.
