        Sale of UK FleetStar by Trafficmaster Plc to CybIT Holdings Plc



Trafficmaster Plc, the worldwide leaders in digital traffic information, is
pleased to announce that it has sold its UK FleetStar business to CybIT Holdings
Plc for a total consideration of £1.5 million, together with certain warrants in
CybIT.  This announcement follows a statement made on 23 January 2002 when
Trafficmaster indicated its intention to withdraw from direct participation in
the European fleet tracking marketplace.



CybIT are acquiring the following assets and IPR of FleetStar Information
Systems Limited: -



•        Existing FleetStar customer base

•        Goodwill

•        Licence in respect of the FleetStar technology

•        Order book and work in progress

•        Company name

•        Website

•        Members of FleetStar staff



In addition CybIT are acquiring the fixed and current assets and stock of
FleetStar with a book value of approximately £1.1 million.



The consideration for the assets and business of FleetStar will consist of
immediate payment of £600,000 in cash, followed by a deferred payment of
£150,000 in cash payable on 2 September 2002.  In addition Trafficmaster will
receive 56,250,000 ordinary shares of 1p each in CybIT, representing
approximately 8.4% of the company.



In addition, as part of the consideration, Trafficmaster will receive certain
Warrants which will give Trafficmaster the right to subscribe for 33,508,717
Ordinary Shares at a price of 4.5 pence per Ordinary Share at any time between 1
January 2003 and 31 December 2004 and 33,508,718 Ordinary Shares at a price of
6.5 pence per Ordinary Share at any time between 1 January 2003 and 31 December
2006.  Each warrant represents approximately 5% of the enlarged issued share
capital of the Company.



David Martell, Chief Executive Officer of Trafficmaster plc, said: "This deal
enables Trafficmaster to concentrate on its core business of the collection and
distribution of traffic information and, at the same time, to realise value from
our investment in the UK fleet management market. Our shareholding in CybIT will
enable us to continue our relationship with the company and provide an ongoing
route to market for our traffic information in the fleet segment."
