CrestaCare Plc ("CrestaCare" or "the Company")

Resignation and Appointment of Directors

On 26 August 1999, the non-executive directors of the Company, namely Sir
Matthew Goodwin, Graeme Hart, Jonathan Charkham and Maxwell Packe, resigned as
directors of CrestaCare with immediate effect.  In addition, Martin Bolland
and Hamilton Anstead were appointed as directors of CrestaCare on the same
day.  On 27 August 1999, the Carat Secre PLC's recommended offer for the
Company was declared wholly unconditional.
