Sterling Share Class Monthly Conversion Facility

and

Potential US Dollar Share Class Closure

On 15 April 2014, the Company announced that it had issued a Circular detailing a Redemption Offer and a Conditional Class Closure Conversion Offer in respect of the US Dollar Share class. In that announcement it was stated that, in accordance with Article 129(e)(iv) of the Articles, the Company may, at its discretion, elect to close the US Dollar Share class by redeeming all of the remaining US Dollar Shares, if the Directors determine that, immediately following the implementation of the Redemption Offer:

(i) the US Dollar Shares that would then remain in issue would: (a) represent less than 25 per cent of the US Dollar Shares (immediately prior to such implementation of the Redemption Offer); or (ii) would have an aggregate Net Asset Value of less than GBP5million (or the equivalent in US Dollars); or the conditions for the continued listing of the US Dollar Shares would no longer be fulfilled,

(the "Class Closure Conditions").

Accordingly, Sterling Shareholders should note that if the Class Closure Conditions are met and the Directors elect to close the US Dollar Share class, any instructions submitted by Sterling Shareholders in May 2014 to convert all or part of their holding into shares of the US Dollar class pursuant to the monthly conversion facility will not be accepted by the Company.
