DIRECTORS' INTERESTS IN SHARES

On 15 April 2002 a further 20 shares were purchased for Lord Harris at 635p
under the Carpetright plc All Employee Share Ownership Plan ("AESOP"),
increasing his beneficial interest to 13,470,485 shares.

Mr J Kitching, Mr C Sollesse and Mrs S Winning also purchased 20 shares each at
635p under the AESOP yesterday, taking their beneficial holdings to 665,146,
15,999 and 41,756 shares, respectively.

In addition, Lord Harris has sold 500,000 shares to Harris Ventures Limited at
648.5p per share. This transaction does not affect Lord Harris' total beneficial
interest which remains unchanged at 13,470,485 shares.
