                          Senior Independent Director



At the CODA plc Board meeting on 1 December, Mr Cliff Preddy, the Company's
Senior Independent Director, confirmed that he does not intend to stand for
re-election as a director at the Annual General Meeting in May 2007.



In 1997 Mr Preddy was appointed a director of Science Systems plc, subsequently
renamed CODASciSys plc, and was in the final year of his third 3 year term of
office when CODA plc demerged from CODASciSys plc.



"Cliff has been an excellent servant of the Company during the last ten years",
said Graham Steinsberg, CODA's Executive Chairman. "We are delighted that he
will continue as Senior Independent Non-Executive Director until May, in order
to provide continuity following the demerger of CODA in September. CODA remains
committed to a Board which has a balanced representation of executives and
non-executives and we shall begin the search for a replacement for Cliff in the
near future."
