                           Director/PDMR Shareholding

On 20 October 2006, upon the recommendation of the Remuneration Committee of
CODA plc ("CODA"), Jeremy Roche, Chief Executive Officer of CODA, received a
share award over 265,957 ordinary shares of 25p each in the Company ("Ordinary
Shares"). The award was made under the Company's Executive Share Ownership Plan
(the "Share Ownership Plan"). The award was priced at 174p per Ordinary Share
being the closing price on 20 October 2006.

The Share Ownership Plan enables Mr Roche to benefit only from the future growth
in the value of the Ordinary Shares above 174p, to the extent that this growth
exceeds 4% per year. Mr Roche may not normally realise any such benefit for
three years and the vesting will be subject to meeting certain performance
criteria linked to the earnings growth of the Company.

As a result, Mr Roche has the following interests in Ordinary Shares:
