CMG plc Employee Share Ownership Trust (the "ESOT")

Cor Stutterheim, Tom Rusting, David Robbie, Hugo Schaap, Bernd Lantermann and
Ian Taylor (together the "Directors")

The trustees of the ESOT notified the Company on 4 April 2001 that, yesterday,
it had bought 263,280 ordinary CMG plc shares at an average price of 472.74p.
By virtue of their interests in the Company's employee share schemes, the
Directors are potential beneficiaries of the ESOT and are thus deemed to have
become interested in the above shares.
