                                 MERGER UPDATE

                        SHAREHOLDER DOCUMENTATION POSTED


Further to the announcement on 5 November 2002 of the recommended merger of CMG
plc ("CMG") and Logica plc ("Logica") to create LogicaCMG plc (the "Merger"),
CMG announces that the relevant documentation has been posted to shareholders.

CMG is issuing a circular to its shareholders containing details of the scheme
of arrangement as well as notices convening shareholder meetings to be held on
Thursday, 5 December 2002 to approve the Merger.  CMG shareholders will also
receive listing particulars of Logica containing financial information relating
to CMG, Logica and pro forma financial information relating to LogicaCMG plc.

Logica is sending a circular to its shareholders convening an extraordinary 
general meeting to approve the Merger.

These documents will shortly be available to the public for inspection at the UK
Listing Authority's Document Viewing Facility which is situated at: Financial
Services Authority, 25 The North Colonnade, Canary Wharf, London E14 5HS (tel.
no. +44 20 7676 1000) during normal business hours on any weekday (Saturdays,
Sundays and public holidays excepted) until completion of the Merger.  For CMG
shareholders holding their shares via Euronext Amsterdam, the relevant
documentation will be made available by way of advertisements in Dutch
newspapers on Tuesday 12 November.
