MERGER CLEARANCE:

The Secretary of State for Trade and Industry has decided, on the information
at present before him, and in accordance with the recommendation of the
Director General of Fair Trading, not to refer the following mergers to the
Competition Commission under the provisions of the Fair Trading Act 1973:

Proposed acquisition by CMG plc of Admiral plc

Proposed acquisition by Nationwide Mutual Insurance Company of certain assets
of National Westminster Bank plc, namely Asset Management Holdings plc, the
holding company of the Gartmore group of companies
