Conversion Between Classes

In respect of the December 2007 Conversion Calculation Date and on the basis of
the net asset values of the Company's Shares of no par value set out in the
announcement dated 30th January 2008 (and using spot currency exchange rates as
appropriate, in each case as at 31 December 2007), the Conversion Ratios,
calculated in accordance with the Company's articles are as follows:

*        1.39075 EURO Shares for every one � Share

*        0.71904 � Shares for every one EURO Share

*        0.50857 � Shares for every one USD Share

*        0.70729 EURO Shares for every one USD Share

On the basis of the aggregate level of Conversion Notices received by the
Company within the stated deadline as previously announced,  application has
been made to the UK Listing Authority for 1,793,527 new � Shares of no par value
to be admitted to the Official List.

Application has also been made for such Shares to be admitted to trading on the
London Stock Exchange. It is expected that such admission will become effective
and that dealings in the new Shares will commence on 18 February 2008.

Accordingly, the Company's issued share capital with effect from 18 February
2008 will be as follows:-

*          7,486,407.00 � Shares

*        10,744,017.00 Euro Shares

*        13,103,219.00 US$ Shares



All shareholders have equal voting rights based on the number of shares held.
Accordingly, the total number of voting rights in the Company is 31,333,643 and
this figure may be used by shareholders as the denominator of the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in the Company under the FSA's Disclosure and
Transparency Rules.
