                Transaction in Own Shares & Total Voting Rights                

The Company announces that, pursuant to its general authority by shareholders
of the Company on 20 May 2008 to make market purchases of its own shares, the
Company acquired 114,080 Ordinary shares on Monday 9 June 2008 at an average
price of 342.5168 pence per Ordinary share, with the highest price of 343.00
pence and the lowest price of 338.00 pence. The purchased shares will be
cancelled.

Following the above transactions the Company now has 66,310,057 Ordinary shares
in issue, excluding shares held as treasury shares, and the number of shares
held as treasury shares is 7,114,209. Therefore the total number of voting
rights in CLS Holdings plc is 66,310,057.
