   to acquire the entire issued share capital of Academy Childcare Group Plc,

                   extraordinary general meeting and placing



                    Result of Extraordinary General Meeting



The Company announces that at the extraordinary general meeting held at 10.00 am
today all the resolutions proposed at the meeting were passed.



A further announcement in connection with the completion of the recommended
offer made by Corporate Synergy Plc on behalf of the Company on 2 December 2004
to acquire the entire issued share capital of Academy Childcare Group Plc 
("Offer") and the related placing of new ordinary shares in the Company will be
made following the closing of the Offer which will remain open for acceptance
until 3.00 pm on 6 January 2005.
