Proposed placing of GWR Group plc ordinary shares by
Capital Radio plc

Capital Radio plc ("Capital" or the "Company") the
largest commercial radio group in the United Kingdom,
announces the proposed placing of its entire holding of
14,061,508 ordinary shares in GWR Group plc ("GWR"). The
placing shares represent 12.9 per cent of the issued
share capital of GWR.
Capital has retained SBC Warburg Dillon Read and HSBC
James Capel to conduct the placing and advise the Company
on the timing and price of the sale.
Reasons for sale

Capital became a significant shareholder in GWR in
December 1993 through the sale of Mercia Sound, Leicester
Sound and Radio Trent to GWR in exchange for cash and new
shares in GWR.
Capital's stake in GWR has been a successful investment
and the two companies have enjoyed a long and fruitful
partnership.
Capital's decision to dispose of its shareholding in GWR
is due to its strategy of focusing on wholly owned radio
businesses as evidenced by its proposed acquisition of
Virgin Radio.
The cash proceeds will be used to pay down indebtedness.
