MERGER OF BTR plc ("BTR") AND SIEBE plc ("SIEBE") TO CREATE BTR
SIEBE

HIGH COURT APPROVAL


BTR and Siebe announce that, at today's High Court hearing of the
petition to sanction the Scheme of Arrangement to effect the
Merger, the High Court approved the petition and granted an order
sanctioning the Scheme.

It is expected that the Merger will become effective on Thursday,
4 February 1999 and that dealings in the new BTR Siebe shares will
commence on the London Stock Exchange at 9.00 am on that day.

Dealings in BTR ordinary shares on the London Stock Exchange are
therefore expected to cease at the close of business on Wednesday,
3 February 1999.  The Scheme Record Time will be 6.00 pm on
Wednesday, 3 February 1999.
