Application has been made to the London Stock Exchange
Limited for 5,682,167 Common shares each ("shares") to be
admitted to the Official List.  It is expected that
permission to admit the new shares will be granted on
Friday, 2 January 1998 and that dealings will commence on
Monday, 5 January 1998.

These shares have been issued as vendor consideration in
connection with the Company's acquisition of National
Trustco Inc.

These shares will rank pari passu with the existing
issued Common shares.
