            RESULT OF EXTRAORDINARY GENERAL MEETING

Atlantic  is  pleased to announce that, at  the  Extraordinary
General  Meeting  of  the  Company  held  earlier  today,  the
Resolutions  approving, inter alia, the acquisition  of  First
Telecom  Group  plc  announced on 27 April 2000  were  passed.
Completion is expected to occur on Thursday 8 June 2000.

It  is  expected  that  Admission will  become  effective  and
dealings  in the Initial New Ordinary Shares will commence  at
8.00 a.m. on Thursday 8 June 2000.

Words  and  expressions defined in the  Circular  to  Atlantic
shareholders  dated  22  May 2000 shall,  unless  the  context
otherwise requires, have the same meanings when used  in  this
announcement.
