undertaking to subscribe for shares in
the placing of the Company announced
on 27 October 2020 (the "Placing"). As

was subject to shareholder approval and
the satisfaction of certain other conditions.
On 9 November 2020, Yew Tree agreed,
subject to completion of the Placing,
to syndicate some of the shares for which
it has agreed to subscribe under the
Placing to other members of the consortium
of shareholders in the Company led by
Yew Tree (the "Syndication Transfers").
The Syndication Transfers are further
described in the announcement of the
Placing published by the Company on 27
October 2020.

Tree Overseas Limited as part of a syndication
which is conditional on completion of
the placing of the Company announced

announcement of the Placing published
by the Company on 27 October 2020 and
completed on 9 December 2020.
In addition, Saint James has subscribed
for a number of warrants for shares in
