                    recommended Offer for

                       Acorn Group plc

       Commencement of compulsory acquisition procedure

MSDW Investment Holdings Limited has received valid acceptances
of the Offer in respect of more than 90 per cent. of the Acorn Shares 
to which the Offer relates.

Accordingly, on 2 June 1999, MSDW Investment Holdings Limited 
issued notices under section 429 of the Companies Act 1985 to those 
Acorn Shareholders who had not already accepted the Offer by 
3.00pm on 1 June 1999, informing them that it now intends to exercise 
its rights to acquire compulsorily all the Acorn Shares outstanding at 
the expiry of the requisite notice period.

In the meantime, the Offer remains open for acceptance.

Terms defined in the Offer document dated 4 May 1999 shall have 
the same meaning in this announcement.
