                   Exercise of Options and Transfer of Shares


Absolute Capital Management Holdings Limited (the "Company") announces that
Doyne Investments Limited ("Doyne") has  exercised on 17 April 2007 options over
1,062,500 ordinary shares at a price of Euro0.24 per share. Doyne is owned by 
First Tower Trustees Limited as trustee of the trust, of which the potential
beneficiaries include Sean Ewing.

Application will be made for the new shares, which rank pari passu in all
respects with the existing shares, to be  admitted to trading on AIM. The total
number of shares in issue following the exercise of options is 68,300,000.

The Company was further notified by Doyne on 17 April 2007 that immediately
following the issue to it of the 1,062,500  ordinary shares, Doyne has agreed to
transfer 48,780 shares to a third party at a price per share of 165.5p pursuant
to  an agreement entered into prior to flotation of the Company.

Following the exercise of options and the subsequent transfer of shares, Doyne's
holding in the Company is 4,550,279  shares, representing 6.7 per cent. of the
issued share capital of the Company.
