to the holders of the

GBP250,000,000 3.625 per cent. Secured Bonds due 2048

(XS1195576233) (the Bonds )

of the Issuer presently outstanding

(the Bondholders)

Terms used but not otherwise defined in this Notice have the meaning given to them in the Notice published on 21 December 2022 convening the Meeting of Bondholders held on 17 January 2023 (the Notice of Meeting) and the Consent Solicitation Memorandum (as defined therein).

NOTICE IS HEREBY GIVEN to the Bondholders that Swan Housing Association Limited became a subsidiary of Sanctuary Housing Association on 8 February 2023. Accordingly, the Payment Conditions have been satisfied and therefore the Issuer will, no later than 10 February 2023 (the Settlement Date), pay the Early Voting Fee to each Eligible Bondholder from whom a valid Electronic Voting Instruction was received prior to the Early Instruction Deadline. The Bonds will be unblocked in the relevant Clearing Systems on the Settlement Date.
