GBP150,000,000 4.625 per cent. Secured Bonds due 2043 (the Bonds)

On 15 October 2020 t he Issuer executed a Forward Purchase Agreement in which it has agreed to issue further bonds ( the New Bonds ) to be consolidated and form a single series with the Bonds and to sell GBP21,000,000 in principal amount of the New Bonds on 15 December 2020 (the Sale) with a further GBP35,000,000 of New Bonds being retained for future sale.

On 4 December 2013 the Issuer issued GBP150,000,000 in principal amount of the Bonds of which GBP35,000,000 in principal amount were immediately repurchased but subsequently cancelled. Following the issue of the New Bonds and the Sale, the aggregate outstanding principal amount of the Bonds in issue will be GBP171,000,000, of which GBP35,000,000 will be Retained Bonds held by or on behalf of the Issuer.
