Nature of the Event: Issue of Subordinated Capital Notes

Further to immediate reports published by Bank Hapoalim B. M. (hereinafter: "the Bank") on 19.03.2019 in connection with intention to execute an issue of subordinated capital notes with a mechanism for absorbing losses through Hapoalim Hanpackot Ltd. ("Poalim Hanpackot", a wholly owned subsidiary company of the Bank which is a reporting corporation), the Bank updates as follows:

On 1.4.2019 Poalim Hanpackot completed a public issue of subordinated capital notes as aforesaid the gross proceeds of which amounted to approximately NIS 472 million. The said subordinated capital notes will form part of the Tier 2 capital of the Bank, are linked to the Index and bear interest at a rate of 2.02 % per annum, maturing in 2030 subject to early redemption on the initiative of the Bank (and with the approval of the Supervision of Banks) in 2025.
