Business Wire
USCorp (OTCBB:USCS) wishes to update its shareholders and
interested members of the public regarding negotiations for
financing to develop its properties.
Robert Dultz, President, Chairman and CEO, and other members of
the management and exploration teams continue to be involved in
correspondence, conference calls, site visits, meetings and review
of USCorp’s proprietary data, with a variety of people representing
mining companies and financing sources ranging in size from
mid-size to major, and from regional to international in scope.
USCorp is in advanced verbal negotiations with two entities.
When we have received written proposals, we will file a notice with
the SEC and issue a press release.
These communications have as their object one or more of the
following: equity and/or debt financing in the US and Europe with
our Class A and/or Class B Common, joint-venture, merger,
acquisition or other combinations whose purpose is development of
USCorp’s California and Arizona properties and public markets by or
with well-financed and highly experienced miners and financial
entities. USCorp’s Class B Common trades only in Europe on the
Frankfurt exchange and could trade on any exchange outside of North
America.
About USCorp
USCorp’s two projects: the gold and silver Twin Peaks in Yavapai
County, Arizona, and the gold Picacho Salton in Imperial County,
California.
About Measurements
Technical Reports and Feasibility Studies on our projects use
the internationally recognized Canadian terms "Mineral Resource,"
"Measured Mineral Resource," "Indicated Mineral Resource" and
"Inferred Mineral Resource" that are not defined terms under
standards of the United States Securities and Exchange Commission
(SEC). Under SEC standards, mineralization may be classified as a
"reserve" when the determination has been made that the
mineralization could be economically produced, and permitted in
order to be legally produced, at the time the reserve calculation
is made. USCorp cautions readers not to assume that all or any part
of Measured, Indicated or Inferred Resources will ever be converted
into Mineral Reserves as defined by the SEC.
Forward-Looking Statements
Statements contained in this release that are not historical
facts are forward-looking and involve risks and uncertainties. See
“Risk Factors” in USCorp’s filings with the SEC. Actual results may
differ materially from any forward-looking statements due to such
risks and uncertainties. USCorp undertakes no obligation to revise
or update publicly any forward-looking statements for any
