Explanation of Responses:
( 1)  The exercise price of the Warrant is equal to the daily volume weighted average price per share of the Common Stock for the 365 day period immediately preceding the date on which the Warrant is exercised, subject to a minimum exercise price of $0.50 per share and a maximum exercise price of $1.00 per share.
( 2)  Pursuant to a Securities Purchase Agreement dated March 21, 2007 between ThermoEnergy Corporation and Mr. Roenigk, Mr. Roegnik exercised his right to purchase an additional 5% Convertible Promissory Note in an aggregate principal amount $750,000 and received in connection therewith an additional Warrant for the purchase of 750,000 shares of Common Stock.
