ATTACHMENT A

This Schedule 13G is being filed by Fiduciary Counselors Inc. ("FC") in its capacity as independent fiduciary, pursuant to appointment by Smurfit-Stone Container Corporation (the "Company") to manage the Company's Stock Fund, which is an investment option in each of the following programs: (i) Smurfit-Stone Container Corporation Savings Plan, (ii) Jefferson Smurfit Corporation Hourly Savings Plan, (iii) Smurfit-Stone Container Corporation Hourly Savings Plan,
(iv) St. Laurent Paperboard Hourly Savings Plan, and (v) Smurfit-Stone Puerto Rico, Inc. Savings Plan for Salaried Puerto Rican Employees (each a "Plan" and collectively the "Plans"), which appointment became effective December 31, 2008. FC was engaged, among other things, to monitor the Company's financial condition to determine, in FC's sole discretion, whether holding the Company's stock in the Company's Stock Fund is no longer consistent with the Employee Retirement Income Security Act of 1974, as amended, and, if so, to determine when and in what manner to liquidate the Stock Fund's holdings in Company Stock.

FC disclaims beneficial ownership of the 5,215,401 shares of the Company's Common Stock pursuant to Rule 13d-4 under the Securities Exchange Act of 1934 (the "Exchange Act"). The filing of this Schedule 13G should not be construed as an admission that FC is, for purposes of Section 13(d) or 13(g) of the Exchange Act, the beneficial owner of the shares of Common Stock covered by this Schedule 13G. This Schedule 13G is filed by FC with respect to Common Stock held in the Company's Stock Fund on behalf of participants in the Plans solely as a result of the appointment by the Company of FC as independent fiduciary, as described above. FC does not have any economic interest in the shares of Common Stock held by the Plans. Prior to January 1, 2010, each Plan participant had the power to direct the disposition of its shares of Common Stock held in the participant's account, and direct the receipt of dividends from, or the proceeds from the sale of, the shares of Common Stock held in such participant's account (subject to the fiduciary powers of FC as described above). Furthermore, prior to January 1, 2010, each such participant had sole voting power over the Common Stock held in such participant's account. To the knowledge of FC, (i) no such participant had any of the foregoing rights with respect to more than five percent of the class of securities identified in Item 2(d) and (ii) there was no agreement or understanding among such persons to act together for purposes of acquiring, holding, voting or disposing of any such shares.
