IHTI Integrative Health Technologies Inc (CE)

Integrative Health Technologies (Pink Sheets: IHTI) announced today that it has reached a settlement with the SEC regarding its alleged non-compliance with the Investment Company Act. The settlement covers the period during which the Investment Company Act applied to the Company from February 11, 2005, the date it filed an election to be regulated as a business development company (a �BDC�), until May 7, 2007, when the Company filed its withdrawal of the election. A copy of the complete settlement is available on the Company website, www.ihtglobal.com. The Company cooperated fully with the SEC as it reviewed the matters in issue, and in determining to accept the Company�s settlement offer, �the Commission considered remedial acts promptly undertaken by Respondent and cooperation afforded the Commission staff.� Ultimately the Company transitioned from a BDC to a standard operating company that is no longer regulated by the Investment Company Act. Accordingly the two sanctions agreed to by the Company and that were approved by the SEC will not affect our ability to carry on our business of: 1. Research and development of biotechnology 2. Independent clinical trials 3. Consulting and networking for the marketing of health-enhancing products and technologies The sanctions proposed by the Company and agreed to by the SEC are as follows: A. Respondent IHT shall cease and desist from committing or causing any violations and any future violations of Sections 17(g), 18(d), 18(i), 23(a), and 56(a) of the Investment Company Act and Rules 17g-1 and 38a-1 thereunder. B. The Regulation E exemption as to Respondent IHT be, and hereby is, permanently suspended.
