(d) Resignation of Director

The Board of Directors of Earth Search Sciences, Inc. (the “Company”) has accepted Mr. Luis F. Lugo’s resignation as Director of the Company effective July 30, 2010. There were no disagreements between Mr. Lugo or any officer or director of the Company.
