Item 2.02 Results of Operations and Financial Condition.

On August 20, 2009, China Carbon Graphite Group, Inc., a Nevada corporation (the “Company”), announced its results of operations for the second quarter ended June 30, 2009. A copy of the Company’s August 20, 2009 press release is attached hereto as Exhibit 99.1.
