The board of directors of the Issuer (the "Board") approved the issuance of these shares of restricted Common Stock at a meeting of the Board on April 16, 2014 as compensation for Mr. Riopelle's service as a director on the Board of the Issuer. 20,000 of these shares have vested as of June 30, 2014 and the remaining shares will vest monthly (at the end of each month) at a rate of 3,333.33 per month.
