TSXV: PAD MONTREAL, June 15, 2012 /CNW Telbec/ - Parta Dialogue , experts in Social Campaign Optimization and Social Learning, announces the following corporate updates: Investors' relation firm options grant As per the press release of the Corporation dated November 3, 2011, Parta granted today to its investors' relation firm PaRadox Public Relations Inc., options to acquire up to 300,000 common shares of PARTA at the exercise price of $0.25 per common share, exercisable on or before November 1, 2013, 225,000 of such options being fully vested and the remaining 75,000 options vesting on August 1, 2012. Amalgamation of subsidiaries In order to streamline its corporate structure, Parta announces its intent to amalgamate its majority-owned subsidiaries Alternative Media Initiative Inc. ("AMI") and IPEXCO Inc. ("IPEXCO") and its inactive wholly-owned subsidiaries Alternative Channel TV Inc. and Rethos Inc., conditional upon receiving approval from the shareholders of its subsidiaries AMI and Ipexco on or before the duly called shareholders meetings thereof to be held on July 10, 2012. Under the Amalgamation Agreement, the minority shareholders of AMI and Ipexco will receive up to 49,331 common shares of Parta. The wholly-owned subsidiary of Parta resulting from the amalgamation will pursue the activities of its active amalgamating subsidiaries under the name Engagement Labs Agency Inc. shall the amalgamation be completed.
