Further to its news release dated February 2, 2012, MENA Hydrocarbons Inc.
("MENA" or the "Company") (TSX VENTURE:MNH) is pleased to announce the closing
of the acquisition of Mideast Energy Corporation pursuant to a securities
purchase agreement dated March 22, 2012 (the "Agreement"). Pursuant to the
Agreement, MENA issued 5,000,003 common shares and 2,499,999 common share
purchase warrants (together the "Securities"). The Securities are being held in
escrow for a 4 month period pending post-closing adjustments, if any. 


Pursuant to the Agreement, Omar Nasser was appointed Director of Corporate
Development responsible for identifying, introducing and developing present and
future regional business opportunities in the hydrocarbons development,
exploration and production sectors of the international oil and gas industry in
the Middle East and North Africa region for the Company's exclusive benefit. 


Completion of the transaction is subject to the final acceptance of the TSX
Venture Exchange.
