The Sage Group plc ("Sage") announces an offer to acquire the business and

with the Sage strategy of expanding geographically into attractive markets.

Softline's revenue for the year ended 31 March 2003 was 53.5m, with an
operating profit of 7.3m. Softline has net assets of 44.2m.
