Explanation of Responses:
(1)	12,422 shares of Class A common stock were acquired upon Mr. Westhead's exercise of options to purchase shares of Class A common stock, granted on March 3, 2015 under the QTS Realty Trust, Inc. 2013 Equity Compensation Plan. All of the options vested on the first anniversary of the date of grant.
(2)	The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $63.03 to $63.44, inclusive.
