Explanation of Responses:

(1)

Represents shares withheld by Diamond S Shipping Inc. (the "Company") to satisfy withholding taxes due in connection with the vesting of 19,040 restricted shares granted to the Reporting Person on April 28, 2020, which vested on November 13, 2020. The vesting of the restricted shares was accelerated in accordance with the award agreement upon the Reporting Person's separation from the Company. The settlement price was based upon the closing price of the Company's common stock on the New York Stock Exchange on the vesting date.
