Explanation of Responses:
( 1)  This amendment is being filed to report that a portion of the previously reported gifts of shares by the reporting person and his wife were made to a trust for the benefit of one of their adult children. The gifted shares are held in a brokerage account to which the reporting person has trading discretion and therefore may be deemed the beneficial owner of such shares.
( 2)  This Form 4 is also being filed to report a new transaction involving the receipt of gifted shares by custodial accounts for the benefit of the reporting person's grandchildren. The custodial accounts are brokerage accounts to which the reporting person has trading discretion and therefore may be deemed the beneficial owner of such shares.
