Unvested Equity Award Updates

Dear Valued C&J Employee,

You are receiving this message because you have unvested equity awards (restricted shares, restricted stock units and/or stock options) granted under the 2017 C&J Energy Services, Inc. Management Incentive Plan. In light of the recent announcement of a potential merger of equals with Keane, we wanted to provide reassurance that this transaction will not negatively affect the terms and conditions of your outstanding equity awards.

 

  1.

Outstanding equity awards (like outstanding restricted cash awards) will be assumed and continued by the combined organization. Simply put, outstanding equity awards will continue on the same substantive terms leading up to and following closing of the merger.

 

   

Notwithstanding the above, with the exception of certain performance shares that will vest at closing, outstanding performance shares will convert to time-based awards at closing and will settle and vest at the “target” level on the original vesting date.

Upon vesting, outstanding equity awards will settle in shares of common stock of the new, combined company.

At / following closing, you will receive additional information confirming the continuation of your outstanding equity awards. The new documentation, issued by the new, combined company will reflect a slight increase in the amount of shares underlying the outstanding awards due to the exchange ratio that has been agreed too.

Outstanding restricted shares, restricted stock units and performance shares are entitled to receive the $1.00 / share dividend to be issued to C&J stockholders at closing of the merger. Any allocated dividend will be paid to you if/when outstanding equity awards vest. For example, assuming the transaction closes December 1, 2019, and you have 100 outstanding restricted stock units that vest on December 11, 2019, at vesting you will receive those 100 shares of common stock in the new company, plus $100.

If during the 12-month period following closing of the merger, you are terminated for reasons other than for “cause” (including a constructive termination), the outstanding equity awards will vest in full at termination of employment.
