Baker Hughes and BJ Services announced this morning that, at their respective special meetings of stockholders held today, each company’s stockholders voted to adjourn their meetings to March 31, 2010. The parties are making progress and continue to work toward obtaining the required regulatory approval from the Antitrust Division of the U.S. Department of Justice (DOJ) in connection with the merger. As reported on Monday, March 15, Baker Hughes and BJ Services have received approvals from all necessary foreign jurisdictions to proceed with the merger but are awaiting final approval from the DOJ. The DOJ has raised issues regarding the overlap in both company’s U.S. Gulf of Mexico stimulation and sand control businesses. The companies do not expect any resolution to be material to the business or financial performance of the combined company following the merger. Baker Hughes and BJ Services expect that the closing will occur after the stockholder meetings on March 31, 2010, subject to the satisfaction of other closing conditions.
Workshops, Webinars and Welcome Presentations
The joint Baker Hughes and BJ Services pre- and post-close workshops, webinars and meetings, which were discussed in the last Integration Update are being rescheduled to reflect the new closing date of the merger.
