Stockholder Meeting Notice

Varian Semiconductor Equipment Associates, Inc. Annual Meeting of Stockholders will be held at the Offices of

Wilmer Cutler Pickering Hale and Dorr LLP, 60 State Street Boston, MA 02109 at 9:30 AM EST Monday, February 8, 2010.

Proposals to be voted on at the meeting are listed below along with the Board of Directors’ recommendations. A vote FOR the director nominees and FOR proposal 2 is recommended by the Board of Directors.

1. To elect the following nominees as Class II Directors for a term of three years: 01—Xun (Eric) Chen and 02—Dennis G. Schmal

2. To ratify the selection of PricewaterhouseCoopers LLP as Varian Semiconductor’s independent registered public accounting firm for fiscal year 2010.
