Explanation of Responses:
( 1)	Of the 2,280,403 shares, 120,021 shares are held in escrow to pay potential indemnity claims under the agreements pursuant to which the Company acquired MemberHealth, Inc. Such shares are therefore subject to forfeiture. The shares will be held in escrow until September 21, 2008 unless the Company asserts indemnity claims.
