Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On January 2, 2008, Unica Corporation (the “Company”) received a Nasdaq Staff Determination letter indicating that the Company is not in compliance with the filing requirements for continued listing set forth in Marketplace Rule 4310(c)(14) due to the fact that it did not timely file its Annual Report on Form 10-K for its fiscal year ended September 30, 2007 (“Form 10-K”) and, as a result, the Company’s securities are subject to delisting from The Nasdaq Global Market.

On January 7, 2008, the Company filed its 2007 Form 10-K. As a result, on January 8, 2008, the Company received a second letter from the Nasdaq staff indicating that the Company was in compliance with Nasdaq Marketplace Rule 4310(c)(14) and no longer subject to delisting from The Nasdaq Global Market.

A copy of the press release announcing the Company’s receipt of the Nasdaq Staff Determination letter is attached hereto as Exhibit 99.1.
