Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 5, 2008, the Board of Directors of Tumbleweed Communications Corp. (“Tumbleweed” or the “Company”) approved an amendment to an employment agreement with James P. Scullion, Chairman of the Board of Directors and Chief Executive Officer of the Company, dated January 23, 2006. The amendment extends the period under which Mr. Scullion is entitled to receive a gross-up payment to fund any excise tax on payments received by Mr. Scullion in connection with a change of ownership control to January 14, 2009.
